One Matter Corporation Terms and Conditions

Last updated: July 14, 2026

These Terms and Conditions govern your access to and use of the One Matter Corporation website and related online services.

In these Terms and Conditions, “One Matter,” “we,” “us,” and “our” refer to One Matter Corporation. “You” and “your” refer to each website visitor, donor, volunteer, program participant, event attendee, partner, or other person who accesses or uses our website or related services.

By accessing our website, submitting information, making a donation, registering for an event or program, or otherwise interacting with One Matter through the website, you agree to these Terms and Conditions and our Privacy Policy.

If you do not agree with these terms, please do not use the website.

1. About One Matter

One Matter is a nonprofit organization focused on mobilizing people, resources, knowledge, and partnerships to support underserved communities, including communities throughout the Caribbean and its diaspora.

Our initiatives may include technology access, educational support, youth development, disaster preparedness, community resilience, training, volunteer engagement, and related charitable activities.

Information presented on the website is intended to explain our mission, initiatives, opportunities, and organizational activities. It does not create a contractual commitment to operate any particular program, provide assistance to any particular person, or achieve any specific outcome.

2. Website Use

You may use the website only for lawful, personal, informational, and charitable purposes consistent with these Terms and Conditions.

You agree not to:

  • Use the website for fraudulent, deceptive, unlawful, or harmful activity.
  • Attempt to gain unauthorized access to the website, its systems, or information maintained through it.
  • Introduce malware, viruses, automated attacks, or other harmful technology.
  • Interfere with the website’s availability, security, performance, or operation.
  • Collect or scrape website content or personal information through automated means without our written permission.
  • Impersonate One Matter, an officer, director, employee, volunteer, partner, donor, or another person.
  • Misrepresent your relationship with One Matter.
  • Use our name, logo, content, or initiatives to solicit money or support without authorization.
  • Submit information that is false, defamatory, threatening, discriminatory, abusive, infringing, or otherwise unlawful.
  • Use the website in a manner that violates another person’s privacy, intellectual-property rights, or other legal rights.

We may restrict or terminate access to the website when we reasonably believe these terms have been violated.

3. Donations

Donations made through the website are voluntary charitable contributions to One Matter.

By making a donation, you confirm that:

  • You are authorized to use the payment method provided.
  • The information submitted with the donation is accurate.
  • The donation is not derived from unlawful activity.
  • The donation is not being made for an unlawful or improper purpose.
  • You understand that making a donation does not give you ownership, membership, voting, management, or decision-making rights in One Matter.

Online donations may be processed through third-party fundraising and payment platforms, including Zeffy. Your transaction may also be governed by the applicable provider’s terms, privacy policy, and payment-processing rules.

Tax deductibility

One Matter may provide a donation acknowledgment or receipt based on the information available to us.

We do not provide tax, accounting, or legal advice. The deductibility of any donation depends on applicable law, One Matter’s tax status, the type of contribution, the donor’s circumstances, and whether the donor received anything of value in return.

You are responsible for consulting an appropriate professional regarding the tax treatment of your contribution.

4. Donation Designations

You may sometimes be given the option to express a preference for a specific initiative, campaign, country, community, or purpose.

Unless One Matter expressly accepts a donation as legally restricted, such a designation represents the donor’s preference rather than an absolute restriction. One Matter will make reasonable efforts to honor the stated preference while retaining the discretion necessary to:

  • Respond to changing community needs.
  • Address emergencies or operational requirements.
  • Ensure that funds are used responsibly and effectively.
  • Complete, modify, postpone, combine, or discontinue an initiative.
  • Redirect funds when an initiative is fully funded, no longer feasible, or unable to use the contribution as originally anticipated.

Where legally restricted funds have been accepted, One Matter will administer those funds in accordance with the applicable restriction and law.

5. Recurring Donations

When you authorize a recurring donation, you authorize the applicable payment processor to charge the selected payment method at the frequency and amount displayed when you enroll.

Recurring donations will continue until canceled, the payment method becomes invalid, the campaign ends, or the recurring arrangement is otherwise terminated.

You are responsible for maintaining accurate payment and contact information. Cancellation requests should be submitted through the fundraising platform or by contacting One Matter.

Cancellation will apply to future payments and will not ordinarily reverse donations that have already been processed.

6. Donation Refunds

Charitable donations are generally treated as final once processed.

One Matter may consider a refund request when:

  • A donation was made in error.
  • An incorrect amount was processed.
  • A duplicate transaction occurred.
  • A payment method was used without authorization.
  • A refund is required by applicable law.
  • One Matter determines that other exceptional circumstances justify a refund.

Refund requests must be submitted promptly and include sufficient information to identify the transaction. Approval is not guaranteed and may be subject to payment-processor policies, transaction fees, timing limitations, and legal or accounting requirements.

Where a donation receipt has already been issued, One Matter may cancel or revise that receipt if the donation is refunded.

7. In-Kind Donations

One Matter may accept equipment, educational supplies, technology, professional services, transportation, facilities, or other noncash contributions.

Acceptance of an in-kind donation is subject to One Matter’s review. We may decline any contribution that:

  • Does not support our mission or current needs.
  • Is unsafe, damaged, obsolete, illegal, or unsuitable.
  • Creates excessive storage, transportation, repair, disposal, or administrative costs.
  • Includes conditions that One Matter cannot reasonably satisfy.
  • Could create legal, financial, security, reputational, or operational concerns.

Unless required by law, One Matter does not assign or confirm the monetary value of donated property or services for the donor’s tax purposes. The donor is responsible for determining and substantiating the value of an in-kind contribution.

Once accepted, donated property becomes the property of One Matter unless a written agreement states otherwise. One Matter may distribute, deploy, transfer, sell, recycle, or otherwise use the property in furtherance of its charitable purposes.

8. Events, Programs, and Initiatives

Registration or application through the website does not guarantee acceptance, attendance, placement, funding, assistance, equipment, training, travel, or participation.

One Matter may establish eligibility criteria, capacity limits, deadlines, codes of conduct, safety requirements, consent forms, waivers, or other conditions for particular programs and events.

We may modify, postpone, relocate, suspend, or cancel an activity due to:

  • Safety or security concerns.
  • Weather or natural disasters.
  • Public-health conditions.
  • Travel or transportation disruptions.
  • Partner availability.
  • Funding or resource limitations.
  • Technology failures.
  • Governmental requirements.
  • Other circumstances outside our reasonable control.

Program-specific terms, registration materials, waivers, or agreements may supplement these Terms and Conditions. Where a conflict exists, the more specific program document will govern that activity.

9. Children and Youth Programs

Our general website is intended primarily for adults, including donors, volunteers, parents, guardians, community leaders, educators, and organizational partners.

A person under 13 should not independently submit personal information through the website.

Participation by a minor in a One Matter program may require the involvement and authorization of a parent, legal guardian, school, community organization, or other authorized adult. Additional consent, safety, media-release, transportation, medical, or participation documents may be required.

Submission of an interest form or program application does not constitute final enrollment or authorization for a minor to participate.

10. Volunteers and Initiative Leaders

Submitting a volunteer, board, advisory, partnership, or initiative-lead application does not create an employment, agency, contractor, fiduciary, partnership, or formal volunteer relationship.

Any formal role must be separately approved by One Matter and may require:

  • An interview or suitability review.
  • References or background screening.
  • Training or orientation.
  • Execution of a volunteer or leadership agreement.
  • Compliance with confidentiality, safeguarding, conduct, and conflict-of-interest policies.
  • Approval by an authorized officer, committee, or the Board of Directors.

Unless expressly authorized in writing, volunteers, advisors, initiative leaders, and community representatives may not:

  • Enter into contracts on behalf of One Matter.
  • Commit One Matter to an expense or obligation.
  • Represent that they can legally bind the organization.
  • Establish independent fundraising campaigns using the One Matter name.
  • Issue tax receipts or donation acknowledgments.
  • Speak publicly on behalf of One Matter.
  • Use confidential organizational or participant information for another purpose.

11. Partnerships and Sponsorships

References to supporters, volunteers, sponsors, community organizations, service providers, or program collaborators do not necessarily mean that One Matter endorses every position, service, product, or activity of that person or organization.

Submitting a partnership proposal or sponsorship inquiry does not create a partnership, joint venture, agency, fiduciary relationship, exclusivity arrangement, or financial commitment.

Any formal relationship must be documented in a separate written agreement signed by authorized representatives.

12. User Submissions

You may submit inquiries, applications, stories, photographs, testimonials, ideas, comments, or other materials through the website.

You retain ownership of materials you submit. However, you grant One Matter a nonexclusive, worldwide, royalty-free license to receive, store, reproduce, and use those materials as reasonably necessary to:

  • Respond to your submission.
  • Evaluate an application or proposal.
  • Administer a program, event, donation, or volunteer activity.
  • Maintain organizational records.
  • Carry out the purpose for which the information was submitted.

One Matter will not publicly use a person’s name, image, testimonial, or story for promotional purposes solely because it was submitted through a general form. Public promotional use may require separate permission or a media release.

You represent that you have the authority to submit the materials and that their submission does not violate another person’s rights.

Please do not submit confidential, proprietary, medical, financial, identification, or other sensitive information through a general contact form unless One Matter specifically requests it through an appropriate process.

13. Intellectual Property

The website and its content, including One Matter’s name, logo, graphics, photographs, videos, written materials, initiative names, designs, and other original content, are owned by or licensed to One Matter and are protected by applicable intellectual-property laws.

You may view and print website content for personal, educational, or noncommercial informational use.

You may not, without prior written permission:

  • Reproduce substantial portions of the website.
  • Modify or create derivative works from our content.
  • Sell, license, publish, or commercially exploit our content.
  • Use the One Matter name or logo to suggest endorsement, affiliation, sponsorship, or authorization.
  • Create an independent fundraiser or campaign using One Matter branding.
  • Remove copyright, trademark, attribution, or ownership notices.

Sharing an unmodified link to a public page or social-media post is permitted.

14. Third-Party Websites and Services

The website may link to or integrate with third-party websites and services, including:

  • Donation and payment processors.
  • Registration or event platforms.
  • Social-media services.
  • Video and media platforms.
  • Maps and embedded content.
  • Partner and sponsor websites.

One Matter does not own or control these third-party services. We are not responsible for their availability, accuracy, security, content, terms, privacy practices, fees, products, or services.

A link or reference does not necessarily constitute an endorsement.

Your use of a third-party service is governed by your relationship with that provider.

15. Informational Content

Website content is provided for general informational, educational, and charitable purposes.

Although we aim to keep information accurate and current, we do not guarantee that all content will always be complete, current, error-free, or suitable for a particular purpose.

Nothing on the website constitutes legal, tax, medical, financial, cybersecurity, emergency-management, educational, or other professional advice.

You should obtain appropriate professional or emergency assistance for decisions requiring specialized advice.

16. Emergency Situations

The website is not an emergency-response service and should not be used to report an emergency, request immediate rescue, obtain urgent medical assistance, or communicate time-sensitive safety information.

In an emergency, contact the appropriate local emergency services, governmental authority, medical provider, relief organization, or law-enforcement agency.

Information about One Matter’s disaster-preparedness or resilience initiatives does not guarantee that One Matter can provide emergency assistance, supplies, transportation, shelter, funding, or communications support.

17. Website Availability

We may modify, suspend, restrict, or discontinue any portion of the website at any time.

The website may occasionally be unavailable because of maintenance, technical failures, security incidents, service-provider interruptions, or circumstances beyond our control.

We do not guarantee uninterrupted or error-free access.

18. Disclaimer of Warranties

To the fullest extent permitted by law, the website and its content are provided on an “as is” and “as available” basis.

One Matter disclaims all express and implied warranties, including warranties of:

  • Accuracy.
  • Completeness.
  • Availability.
  • Merchantability.
  • Fitness for a particular purpose.
  • Noninfringement.
  • Security.
  • Reliability.

We do not warrant that the website will be free from viruses, errors, harmful components, interruptions, or unauthorized access.

Some jurisdictions do not permit certain warranty limitations, so portions of this section may not apply to you.

19. Limitation of Liability

To the fullest extent permitted by law, One Matter and its directors, officers, employees, volunteers, initiative leaders, advisors, agents, and authorized partners will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to:

  • Your use of or inability to use the website.
  • Reliance on website content.
  • Third-party websites or services.
  • Unauthorized access to or alteration of information.
  • Program, event, volunteer, donation, or registration decisions.
  • Website interruptions, errors, or security incidents.
  • Conduct of another website user or third party.

Where liability cannot legally be excluded, One Matter’s liability will be limited to the greatest extent permitted by applicable law.

Nothing in these terms excludes liability that cannot legally be excluded or limited.

20. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless One Matter and its directors, officers, employees, volunteers, advisors, agents, and authorized representatives from claims, liabilities, losses, damages, expenses, and reasonable legal fees resulting from:

  • Your unlawful or unauthorized use of the website.
  • Your violation of these Terms and Conditions.
  • Materials you submit through the website.
  • Your infringement of another person’s rights.
  • Fraudulent, deceptive, or harmful conduct attributable to you.

This section does not require you to indemnify One Matter for conduct for which indemnification cannot legally be required.

21. Privacy

Our collection and use of personal information are described in our Privacy Policy.

By submitting information through the website, you acknowledge that information may be processed as described in that policy and through the third-party platforms necessary to complete the requested activity.

22. Governing Law

These Terms and Conditions are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.

To the extent legally permitted, any dispute arising from the website or these terms will be brought in a state or federal court with appropriate jurisdiction in Georgia.

This section does not prevent either party from pursuing another remedy or forum that cannot legally be waived.

23. Severability

If any provision of these Terms and Conditions is found to be unlawful, invalid, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary.

The remaining provisions will remain in effect.

24. No Waiver

One Matter’s failure to enforce a provision of these Terms and Conditions does not waive that provision or our right to enforce it later.

A waiver is effective only when expressly made in writing by an authorized representative of One Matter.

25. Entire Agreement

These Terms and Conditions and the Privacy Policy constitute the general agreement between you and One Matter concerning use of the website.

Additional agreements may apply to specific donations, programs, events, volunteer roles, partnerships, sponsorships, or services.

26. Changes to These Terms

We may update these Terms and Conditions to reflect changes in our website, programs, operations, service providers, or legal obligations.

The updated terms will be posted on this page with a revised “Last updated” date.

Your continued use of the website after updated terms are posted constitutes acceptance of those terms to the extent permitted by law.
